TERMS OF SERVICE

These HolisticHealthPro Terms of Service (“Terms”) are an agreement between Goose Eye Solutions, LLC d/b/a HolisticHealthPro, an Oklahoma limited liability company (“HolisticHealthPro,” “we,” “our,” or “us”) and the individual using the Service (“User”, defined below). These Terms govern your access to and use of the HolisticHealthPro website, Content (defined below), and related services (collectively, the “Service”).

1. Acceptance of Terms

By creating an account, starting a Free Trial, purchasing a Subscription, clicking “I agree,” or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to these Terms. A condition of access to and use of the Service is agreement to certain terms relating to the proprietary nature of the Service including the Acceptable Use Policy at [insert hyperlink], which is a part of these Terms and is applicable to your activities while using the Service. The Service is not directed to any User outside the United States and is also not directed to, and may not be used by, anyone under the age of majority. By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence. If you are not the age of majority or you do not agree to these Terms, you must not access or use the Service.

The Service does not provide medical advice, diagnosis or treatment. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR SERIOUS OR LIFE-THREATENING MEDICAL SITUATION, NOTIFY YOUR HEALTHCARE PROVIDER, GO TO THE NEAREST EMERGENCY ROOM, OR CALL 911. Do not rely on the Service in any situation that may require prompt medical attention.

2. Definitions

a) “Aggregated Statistics” means data and information related to use of the Service that is used in an aggregate and anonymized manner including, without limitation, for HolisticHealthPro or industry benchmarking, research studies, reporting, analytics and similar indicators, and to compile statistical and performance information related to the provision, operation and enhancement of the Service.

 

b) “Content” means all information, text, data, search results, summaries, graphics, and other materials made available through the Service.

c) “Feedback” means any suggestion or idea for improving, enhancing, or otherwise modifying the Service.

d) “Free Trial” means a no-charge or discounted trial period that automatically converts to a paid Subscription unless canceled as described in Section 10.

e) “Intellectual Property” means inventions, discoveries and improvements; know-how; technical data; drawings; specifications; process information; documentation; methodologies; algorithms;

the Service and associated database and data including, without limitation, performance data, Feedback, Aggregated Statistics, meta data, indexing and derived data but excluding personally identifiable information regarding an individual; video information and computer software; and all modifications, enhancements and derivatives thereof as well as worldwide common law and statutory rights, Moral Rights and Residuals to the foregoing including, but not limited to, patents, trade secrets, copyrights, service marks and the like.

 

f) “Moral Rights” means any and all rights of paternity or integrity of the Intellectual Property and the right to object to any modification, translation or use of the Intellectual Property and any similar rights existing under the judicial or statutory law of any country in the world or under any treaty, regardless of whether or not such right is denominated or referred to as a moral right.

 

g) “Residuals” means information in intangible form, retained in the unaided memory of persons employed or retained by a party who has had access to or worked with the other party’s confidential information.

 

h) “Subscription” means a paid plan providing access to designated features of the Service on a recurring basis.

i) “User” means a natural person desiring access to and use of the Services and includes references such as “you” and “your”.

j) “User Content” means any information you submit, upload, or input into the Service, including searched terms, symptoms, feedback, and profile information.

3. Eligibility and Account Registration

By using the Service, you represent and warrant that:

a) you are at least 18 years of age and have the legal capacity to enter into these Terms;

b) all registration and account information you provide is accurate, current, and complete, and you will keep it updated;

c) you will not use the Service as a substitute for medical advice, diagnosis, or treatment; and

d) your use of the Service will comply with these Terms and all applicable laws.

To access certain features, you must create an account. You agree to maintain the confidentiality of your login credentials, to promptly notify us of any unauthorized use, and to accept responsibility for all activity occurring under your account. We are not liable for any loss arising from unauthorized use of your account.

4. Purpose of the Service; Informational Use Only

a) HolisticHealthPro is an educational information platform and the purpose of the Service is to organize and make accessible other sources of information. The Service provides general information about nutritional supplements, the nutritional content of foods, and general causes of user-entered symptoms, and it surfaces unbiased, evidence-based studies about supplements and foods. We have not verified the information contained in the Service and expressly disclaim any representation or warranty that the Content includes information you may be seeking.

b) The Service is provided solely for general educational and informational purposes and is not medical advice. Goose Eye Solutions, LLC and its employees, owners, and agents are not health care providers and are not offering medical advice. The Service is not a substitute for, and does not constitute, professional medical, nutritional, pharmacological, diagnostic, or treatment advice. The Service does not recommend, endorse, or advise for or against any particular supplement, food, product, dosage, or course of action. You are encouraged to perform your own independent research and any decisions you make based on the Content are made solely at your own discretion and risk. You should consult with your physician or other healthcare provider before taking any vitamin, supplement, or any other product referenced in the Service.

5. Medical Disclaimer; No Professional Relationship

a) No medical advice. The Service does not provide medical advice, diagnosis, or treatment. The Content is not a substitute for professional medical advice, diagnosis, or treatment from a licensed healthcare provider. Never disregard, avoid, or delay obtaining professional medical advice because of anything you have read or accessed through the Service.

b) Always consult a professional. Always seek the advice of your physician or another qualified healthcare provider with any questions you may have regarding a medical condition, symptoms, medications, supplements, or dietary choices, and before starting, stopping, or changing any treatment, supplement, or diet.

c) No provider–patient relationship. Your use of the Service does not create any physician–patient, nurse–patient, pharmacist–patient, dietitian–patient, or other professional–client relationship of any kind whatsoever.

6. Symptom-Information Feature; Assumption of Risk

a) The Service may allow you to enter symptoms and receive general information about conditions that could be associated with such symptoms, along with general guidance about seeking professional care. This feature is informational only, is not a diagnostic tool, and does not evaluate your individual medical condition. The information returned is general in nature, may not apply to you, and may be incomplete or not reflect the most current medical knowledge.

b) You understand and agree that YOU USE THE CONTENT INCLUDING BUT NOT LIMITED TO THE SYMPTOM-INFORMATION FEATURE AT YOUR OWN RISK, and you assume full responsibility for any actions you take or refrain from taking based on the Content. To the fullest extent permitted by law, you release HolisticHealthPro from any liability arising from your reliance on the Content.

7. Supplements, Foods, and FDA Disclosure

a) Unless otherwise stated, statements made through the Service regarding dietary supplements, botanical ingredients, or foods have not been evaluated by the U.S. Food and Drug Administration. No Content is intended to diagnose, treat, cure, or prevent any disease.

b) Dietary supplements are not regulated in the same manner as prescription drugs, and information about their safety, efficacy, interactions, and appropriate use continues to evolve. Individual responses vary, and supplements or foods may interact with medications or medical conditions. You should consult a qualified healthcare provider before using any supplement, particularly if you are pregnant or nursing, have a medical condition, or take any medication.

c) Nutritional and food information provided through the Service is general and may not reflect the exact composition of specific products, preparations, or brands. You should rely on product labeling and your healthcare provider for information specific to you.

8. Third-Party Content, Studies, and Products

a) The Service aggregates and summarizes third-party information, including published studies and data regarding supplements and foods. We do not manufacture, sell, or distribute supplements, foods, or other products, and we make no representation or warranty regarding any third-party product, manufacturer, study, or information. References to any product, study, organization, or third party do not constitute an endorsement, sponsorship, or recommendation. Your dealings with any third party are solely between you and that third party.

b) The Service may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for the availability, accuracy, content, products, or practices of any third-party or third-party site. Access to third-party sites is at your own risk and subject to their terms and policies.

9. AI-Assisted Content

HolisticHealthPro may use artificial intelligence and automated tools to help compile, summarize, and present educational Content. While we strive to provide accurate, evidence-based information and use quality assurance procedures, AI-assisted Content may contain errors, omissions, or outdated information and must not be interpreted as individualized advice or as a guarantee of accuracy, completeness, or suitability for your particular circumstances. You are responsible for independently verifying any Content before relying on it, and you should confirm health-related information with a qualified professional.

10. Subscriptions, Free Trials, Payment, and Automatic Renewal

a) Certain features require a paid Subscription. When you subscribe, you authorize us and our payment processor to charge your designated payment method for applicable fees and taxes, on a recurring basis. If a Subscription is not cancelled by you, Subscription fees are non-refundable and are charged in advance. If we change Subscription fees, we will provide advance notice of any material fee change, and the change will apply to your next billing cycle.

b) We may offer a Free Trial. Unless you cancel before the end of the trial period, your Free Trial will automatically convert to a paid Subscription, and your payment method will be charged the then-current Subscription fee. At enrollment we will disclose the trial length, the price and billing frequency that will apply after the trial, and how to cancel.

c) Payments are processed by a third-party processor. HolisticHealthPro does not store full payment card numbers, security codes, or other sensitive payment card data. Your payment information is also subject to the processor’s terms and privacy policy. You are responsible for keeping your payment information current; failed payments may result in suspension or termination of access.

d) SUBSCRIPTIONS AUTOMATICALLY RENEW for successive periods of the same length until canceled. Each renewal will be charged at the then-current price unless you cancel before the renewal date.

e) You may cancel online at any time through your account settings or by contacting us at support@holistichealthproapp.com. Cancellation will be effective at the end of the current Free Trial or Subscription period. To avoid charges, you must cancel before the Free Trial ends or the Subscription renewal date.

11. Acceptable Use

In connection with use of the Service, you agree not to, and not to permit any third party to:

a) violate any applicable law, regulation, or third-party right including but not limited to engaging in any fraudulent, illegal or unauthorized use or activity;

b) use the Service to provide medical, diagnostic, or clinical services to others, or in any manner that treats the Content as professional advice;

c) attempt to gain unauthorized access to the Service, other accounts, or our systems;

d) use the Service for development of or to gather information for a competing or potentially competing product or service or for any other similar purpose;

e) interfere with, disrupt, or compromise the operation, integrity, or security of the Service;

f) introduce viruses, malware, or other harmful code;

g) use bots, scrapers, crawlers, or other automated means to access, harvest, or copy Content or data;

h) reverse engineer, decompile, or attempt to derive source code;

i) impersonate any person or entity or misrepresent your affiliation; or

j) use the Service or Content for any unlawful, harmful, or commercial purpose.

Violation of this Section may result in immediate suspension or termination of your account, in addition to any other remedies available to us.

12. Intellectual Property; Limited Right to Access and Use

a) Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service and Content for your personal, non-commercial use. Except as expressly permitted, you may not copy, reproduce, distribute, publish, display, modify, create derivative works from, or commercially exploit any part of the Service without our prior written permission.

b) As between you and us, the Intellectual Property is owned by HolisticHealthPro. HolisticHealthPro reserves all rights not expressly granted to you in these Terms. Except for the limited access and usage rights expressly granted under these Terms, nothing in these Terms grants, by implication, waiver, estoppel, or otherwise, any intellectual property rights or other right, title, or interest in or to the Intellectual Property.

c) If rights associated with Intellectual Property are violated, we may suffer irreparable harm and obtain an injunction against such violation in addition to other remedies herein or otherwise available to it, none of which are waived. You agree to cooperate with such injunction and other efforts by us to stop the violation.

13. User Content and Feedback

a) You retain ownership of the User Content you submit. By submitting User Content, you grant HolisticHealthPro a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, and display such User Content to operate, provide, and improve the Service.

b) We have an absolute unrestricted right to use, profit from, disclose, publish, keep secret, or otherwise exploit or use Feedback without further action and without compensating or giving attribution to you.

c) You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right. You are solely responsible for your User Content. We may, but are not obligated to, review, monitor, or remove User Content at our discretion.

14. Privacy and Health Information – need to retain for consumer health data reasons?

a) All information we collect in connection with your access to and use of the Service is subject to our Privacy Policy. By accessing and using the Service, you consent to all actions taken by us with respect to your information, in compliance with the Privacy Policy.

b) Information you provide, including symptoms and health-related searches, may constitute sensitive or consumer health data under applicable law. HolisticHealthPro is not a “covered entity” or “business associate” under HIPAA, and the Service is not a HIPAA-regulated service. Please review the Privacy Policy carefully before submitting any information.

15. Availability, Changes, and Modification of the Service

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, updates, technical issues, or events beyond our control may affect availability. We may modify, suspend, or discontinue any part of the Service, change features, or impose limits on features, at any time and without liability, and we may update the Content as information evolves. Your continued use after the effective date of events described in this Section constitutes acceptance of the change.

16. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice, if you violate these Terms, misuse the Service, or create risk or legal exposure for us, or for any other reason at our discretion. We shall have no liability for any damage, liabilities, losses or any other consequences that you may incur as a result of suspension or termination. You may cancel the Service or request deletion of your account at any time; cancellation of paid features is governed by Section 10.

17. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HOLISTICHEALTHPRO AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE, THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE SPECIFICALLY DISCLAIM ANY REPRESENTATION OR WARRANTY REGARDING HEALTH, MEDICAL, NUTRITIONAL, OR SUPPLEMENT OUTCOMES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Limitation of Liability

a) TO THE FULLEST EXTENT PERMITTED BY LAW, HOLISTICHEALTHPRO AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR FOR ANY PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b) IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HOLISTICHEALTHPRO ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HOLISTICHEALTHPRO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US.

19. Indemnification

You agree to defend, indemnify, and hold harmless HolisticHealthPro and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or

relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any health, medical, or other decision you make based on the Content. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you remain liable for indemnifying and holding us and agree to cooperate with us.

20. Governing Law and Venue

a) These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction and exclusive venue of those courts and agree not to claim that the exclusive venue is an inconvenient forum. However, before initiating any litigation, you agree to first contact us and provide a written description of the dispute and your contact information, and to give us at least thirty (30) days to resolve the matter informally. Many disputes can be resolved without formal proceedings. TO THE EXTENT ANY DISPUTE PROCEEDS TO LITIGATION, YOU AND HOLISTICHEALTHPRO EACH WAIVE ANY RIGHT TO A JURY TRIAL.

b) YOU AND HOLISTICHEALTHPRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

21. Time Limitation on Claims

To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.

22. General Provisions

a) We may revise these Terms from time to time. If we make material changes, we will update the Effective Date and provide notice through the Service or by other reasonable means. Your continued use after the revised Terms take effect constitutes acceptance. If you do not agree, you must stop using the Service.

b) These Terms constitute the entire agreement between you and HolisticHealthPro regarding the Service and supersede all prior or contemporaneous agreements and communications.

c) If any provision is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.

d) Failure or delay by us at any time to enforce a provision of, or exercise a right under, these Terms shall not be construed as a waiver of any such provision unless expressly agreed to as such in a mutually executed writing. Such failure or delay to enforce or exercise shall not affect the validity of these Terms, or any part thereof, or the right of HolisticHealthPro to enforce any provision of, or exercise any right under, these Terms at any time in accordance with its terms. Likewise, a

waiver of a breach of any provision of these Terms shall not affect or waive a subsequent breach of the same provision or a breach of any other provision.

e) You may not assign or transfer your use of the Service, Free Trial, or Subscription. Any attempted assignment or transfer by you shall be void unless you have our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

f) We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, epidemics, labor disputes, internet or utility failures, cyberattacks, or governmental actions.

g) Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and HolisticHealthPro.

h) The Service is intended solely for users in the United States. We make no representation that the Service is appropriate or available for use in other locations, and you are responsible for compliance with local laws.

i) Sections that by their nature should survive including but not limited to this Section and Sections 2, 4-8, 11-13, and 16–21, survive termination.
